These Nonprofit Support Terms ("Terms") govern the relationship between nonprofit organizations ("Nonprofits," "you," or "your") and Little X Little ("Platform," "we," "us," or "our"). By registering as a nonprofit on our platform, you agree to be bound by these Terms in addition to our general Terms & Conditions and Privacy Policy.
To register as a nonprofit on the Platform, your organization must be a legally recognized nonprofit, charity, community-based organization, or social enterprise operating in good standing under the laws of your jurisdiction. You must provide accurate and complete registration information, including your organization's legal name, registration number, physical address, mission statement, and proof of nonprofit status. We reserve the right to request additional documentation at any time to verify your eligibility.
All nonprofit registrations are subject to a verification process conducted by Little X Little. This process may include review of submitted documentation, background checks, and confirmation of your organization's operational legitimacy. We may approve, reject, or request additional information at our sole discretion. Approval to join the Platform does not constitute endorsement of your organization by Little X Little. We reserve the right to revoke approval at any time if we determine that a nonprofit no longer meets our eligibility requirements or has violated these Terms.
As a registered nonprofit on the Platform, you agree to: (a) use all funds received through the Platform exclusively for the charitable purposes stated in your profile and project descriptions; (b) provide accurate, truthful, and non-misleading information about your organization, programs, and projects; (c) promptly update your profile and project information when changes occur; (d) comply with all applicable local, national, and international laws and regulations; (e) respond to donor inquiries and platform communications in a timely and professional manner; (f) not engage in any fraudulent, deceptive, or unethical conduct; and (g) maintain proper records of how donated funds are used and make such records available to Little X Little upon request.
Nonprofits may create fundraising campaigns and projects on the Platform subject to our review and approval. All campaigns must accurately represent the intended use of funds and the expected impact. You may not create campaigns for activities that are illegal, discriminatory, or contrary to the mission of Little X Little. We reserve the right to suspend or remove any campaign that violates these Terms or that we determine, in our sole discretion, to be inappropriate. Peer-to-peer fundraisers created by supporters on behalf of your organization are subject to additional terms and remain under the oversight of Little X Little.
Donations received through the Platform will be disbursed to nonprofits according to our standard disbursement schedule, which may vary based on your account standing, verification level, and payment method. Little X Little will make reasonable efforts to process disbursements promptly, but processing times may depend on third-party payment providers and banking institutions. We reserve the right to withhold or delay disbursements if we suspect fraud, misuse of funds, or violation of these Terms. Nonprofits are responsible for providing and maintaining accurate banking or mobile money details for receiving disbursements. Little X Little shall not be held liable for failed transfers due to incorrect payment information provided by the nonprofit.
Little X Little may deduct a platform service fee from donations processed through the Platform. The current fee structure will be communicated to you upon registration and is available on our pricing page. We reserve the right to modify fees with 30 days' prior written notice. Third-party payment processing fees may also apply and are the responsibility of the nonprofit unless otherwise stated. No fees will be charged without clear disclosure.
Nonprofits are required to provide periodic impact reports detailing how funds received through the Platform have been utilized. These reports should include, where applicable: a summary of projects funded, beneficiaries reached, fund allocation breakdowns, and any measurable outcomes. Little X Little may publish aggregated or anonymized data from these reports to demonstrate platform-wide impact. Failure to submit required reports may result in suspension of future disbursements until compliance is restored.
By uploading content to the Platform (including but not limited to text, images, videos, and logos), you grant Little X Little a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of promoting your organization's presence on the Platform and advancing charitable giving. You represent and warrant that you own or have the necessary rights to all content you upload and that such content does not infringe upon the intellectual property rights of any third party.
We are committed to protecting the personal data of donors and nonprofits. Nonprofits will have access to certain donor information solely for the purpose of acknowledging donations and providing impact updates. You agree not to sell, share, or misuse donor data for purposes unrelated to the donation or your organization's stated mission. All handling of personal data must comply with applicable data protection laws, including but not limited to the Data Protection and Privacy Act of Uganda and the General Data Protection Regulation (GDPR) where applicable. Little X Little may suspend or terminate a nonprofit's account at any time if: (a) the nonprofit violates any provision of these Terms; (b) the nonprofit engages in fraudulent, misleading, or unethical activity; (c) the nonprofit fails to meet eligibility or verification requirements; (d) required reports or documentation are not submitted; or (e) continued association may bring the Platform into disrepute. Upon termination, any pending disbursements may be withheld pending investigation. Nonprofits may also request voluntary removal from the Platform by contacting us in writing, subject to the resolution of any outstanding obligations.
Little X Little acts solely as a technology platform connecting donors with nonprofits and does not guarantee any specific amount of donations or funding outcomes. We shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to failed transactions, delayed disbursements, or loss of data. Our total liability to any nonprofit shall not exceed the total platform fees collected from that nonprofit in the preceding 12 months.
Any disputes between a nonprofit and Little X Little arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation in Kampala, Uganda. If mediation does not resolve the dispute, it shall be referred to arbitration under the rules of the Centre for Arbitration and Dispute Resolution (CADER) in Uganda. The decision of the arbitrator shall be final and binding. Disputes between nonprofits and donors shall be handled in accordance with our general Terms & Conditions.
You agree to indemnify, defend, and hold harmless Little X Little, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Platform, your violation of these Terms, your misuse of funds, or any breach of your representations and warranties hereunder.
Little X Little reserves the right to modify these Nonprofit Support Terms at any time. Material changes will be communicated to registered nonprofits via email or through a notice on the Platform at least 30 days before taking effect. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms. If you do not agree with any modifications, you may terminate your account as described in Section 10.
These Nonprofit Support Terms are governed by and construed in accordance with the laws of Uganda. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
